Andrew S. Felts

Drew focuses his practice on commercial real estate and renewable energy transactions. He has extensive experience representing buyers, sellers, developers, investors, landlords, tenants and lenders in all facets of complex commercial real estate deals throughout the Southeast and other parts of the country.

Drew also works closely with renewable energy developers to negotiate and draft site control agreements, handle due diligence review and negotiate tax equity and loan documents in utility-scale solar energy projects across the country. Drew frequently speaks at conferences on the topics of renewable energy landowner, debt and tax equity party relations, and implementing strategic solutions to accomplish complex closings.

Drew is licensed in North Carolina, South Carolina and West Virginia. He regularly serves as local counsel on both commercial real estate and renewable energy transactions.

  • Represented New York based investment bank and developer in the acquisition, financing (including negotiation of CMBS loans) and leasing of multiple investment properties across North Carolina totaling over $20 Million.
  • Represented North Carolina based lender in connection with financing of multimillion dollar shopping center in South Carolina.
  • Represented North Carolina based oil company in multimillion-dollar acquisition of twenty (20) convenient stores across multiple counties in North Carolina.
  • Represented hotel development company in the acquisition, disposition and development of multiple, multimillion-dollar hotel projects and developments across North Carolina and the Southeast.
  • Represented out-of-state investor in the disposition of downtown Winston-Salem commercial property and diligence, acquisition and financing of multi-million dollar multifamily housing project as part of a Section 1031 like-kind exchange.


  • Represented multi-state gas station franchise in negotiation of ground leases throughout the Southeast.
  • Represented New York based developer in negotiation of leases for over 200,000 square feet of commercial property in Winston-Salem and Chapel Hill, North Carolina
  • Represented publicly traded fast food company in the ground leasing of multiple franchises across the Southeast.
  • Represented out of state developer in the leasing of 36,000 square feet of industrial warehouse space in Davidson County, North Carolina.
  • Represented healthcare practice in the negotiation and leasing of commercial property to national cell tower company in Guilford County, North Carolina.
  • Represented franchisee in negotiating leasing of space in large retail shopping center in Forsyth County, North Carolina.
  • Represented retail mattress operator in negotiating and leasing of multiple retail locations across North Carolina and South Carolina.


  • Represented multiple national and international solar farm developers and sponsors in the development and financing of over $500 Million of debt and tax equity in 2018.
  • Advise clients on every stage of renewable energy project development, including handling complex diligence negotiations and title review, as well as drafting and negotiating site control documents for multi-project portfolios across multiple jurisdictions throughout the country.
  • Represented out of state national renewable energy developer in negotiation of multi-phased site control documents and diligence review for 100 MW utility scale solar farm in Southeastern United States.
  • Represented large scale Georgia based farming operation landowner in negotiation of utility scale solar lease with renewable energy division of multinational corporation.
  • Serve as local counsel to national lender in connection with debt financing of 20 MW utility scale solar project in South Carolina.-Serve as local opinion counsel on behalf of multiple developers and sponsors in North Carolina and South Carolina on multi-project portfolios.
